We hosted our AGM Season Report 2022 at our offices on Barrow Street on Wednesday 30 November.

This year, in addition to presenting our report, we are pleased to include a panel discussion with two leading speakers on corporate governance. Both have featured prominently in the business pages in the past year.

Our panellists reviewed the 2022 AGM season and discussed topical and contentious matters including director independence, director remuneration, ESG reporting, and the future of the UK Corporate Governance Code.

Speakers:

  • Alan MacDougall, Founder and Managing Director, Pension and Investment Research Consultants Limited (PIRC)

Alan founded PIRC, one of Europe’s largest global proxy agencies in 1986. PIRC provides institutional shareholders with advice on their ownership and stewardship responsibilities. PIRC has adopted robust and distinct positions on a number of issues, notably director independence and share buyback programmes.

  • Dr Bobby Reddy, Assistant Professor, University of Cambridge

Dr. Reddy conducts research on a variety of topical corporate governance and company law themes, including those influencing the efficiency, operation and innovation of the capital markets, and the real-world impact of regulatory approaches and policies. His recent call for the abolition of the UK Corporate Governance Code gained wide coverage in the Financial Times and other media.

Anne is a Partner on our corporate team and has been author of our annual AGM Season Report since 2017. Anne advises a range of public and private companies on transactional and governance matters, with a focus on the technology sector.

This seminar was chaired by Justin McKenna, Partner and our Head of Equity Capital Markets, director Irish Takeover Panel and legal representative on the Irish Markets Committee.

The Q&A session was moderated by Paul Egan S.C., Chair, Company Law Review Group and author European Securities Law.
