Our dedicated Investment Funds Team delivers on the most complex types of investment fund structures. Not only does this involve high-end expertise on fund formation, but often also involves detailed tax structuring, assistance with the acquisition of investments such as real estate investments, the negotiation of complex banking and derivative documentation and corporate secretarial and governance services. 

A feature of our practice is the establishment, for international distribution, of UCITS funds for alternative investment clients, accommodating strategies which were previously the preserve of hedge funds (liquid alternatives). Our UCITS practice advises on the most complex UCITS investment strategies including compliance with detailed rules on structured UCITS, index or swapbased strategies as well as CTA and hedge fund strategies.

In the past 12 months our Investment Funds Team has been particularly involved in real estate investment funds. We have implemented innovative QIAIF structures for the most tax efficient acquisition of real estate assets, as well as structuring the assets of the QIAIF in an efficient manner for the purposes of different creditor lending.

  • Advising clients on the application of AIFMD to their businesses and the requirement for authorisation under AIFMD.
  • Advising on the establishment of investment funds as ICAVs, unit trusts, variable capital companies, limited partnerships or common contracted funds.
  • Advising on fund redomiciliations, mergers and conversions to ICAVs.

Recent Work

  • Advising IRES REIT, the first Irish REIT to focus on residential properties, on all Irish AIFMD aspects of its successful IPO and listing on the Irish Stock Exchange in 2014 and its second round of fundraising in 2015.
  • Establishing the first actively managed China A shares fund, an Irish UCITS, to provide daily liquidity under the RQFII program.
  • Establishing a QIAIF for the purpose of housing the largest food and household goods distribution centre in Ireland.
