Nicholas Metcalfe


Nick is a Partner on our Corporate Governance team, specialising in Corporate Law.

Nick’s experience in complex reorganisations and technical expertise on company law means that he is able to identify and analyse issues with company law, such as financial assistance for the acquisition of shares and deemed or disguised distributions, at an early stage and suggest solutions to any issues which may arise.

Nick previously worked as a partner in commercial law firms in England. Nick’s work in England involved a wide variety of corporate matters including mergers and acquisitions, joint ventures, and a number of different types of subscription, investment and shareholders’ agreements, representing private and institutional investors and target companies. He advises clients on incorporations, mergers and acquisitions, financings and restructurings, re-organisations and general company law provisions and requirements.

Nick regularly speaks and publishes articlels on aspects of company law.

Representative Matters

  • Acted as lead counsel managing the implementation of a corporate reorganisation a large global pharmaceutical multinational which included the transfer of group subsidiaries in 17 jurisdictions.
  • Lead the intergroup transfer of the internal financing function of a worldwide chemicals company from Belgium to Ireland.
  • Currently the Irish corporate aspects of a worldwide corporate reorganisation of an insurance conglomerate.
