The Role

We are currently seeking a qualified company secretary to join our Corporate Governance and Compliance department to assist in the provision of advice and services in respect of company secretarial and corporate governance matters to a varied portfolio of international and domestic clients.

Our Corporate Governance and Compliance Team provides an integrated and extensive range of corporate advisory, corporate governance and company compliance services to our Irish and overseas clients. We have a broad client base ranging from start-up companies to listed and regulated public limited companies and we advise them on all aspects of Irish company law.

This is an excellent opportunity for an ambitious candidate to develop his/her expertise by to working in a top tier firm with an enviable client base.

Responsibilities of role

  • Provision of advice and services in respect of company secretarial and corporate governance matters to a varied portfolio of international and domestic clients
  • Provision of specific governance and company secretarial advice and services throughout the lifecycle of an Irish registered company, which advice and services includes the drafting of the requisite resolutions and statutory forms and project management of the relevant process
  • Provision of advice and services to EEA and non-EEA companies in respect of the registration and maintenance of branches in Ireland
  • Provision of specialist company secretarial advice and services in respect of company reorganisations, including changes in share structure, share redemptions and share buy backs
  • Organising and attendance at board and shareholder meetings to include compilation and circulation of the required documents, minute taking and liaising with client and board members in relation no same
  • Provision of company secretarial support in respect of corporate and financial services transactions, including due diligence of company statutory records and generation of due diligence reports, drafting minutes and ancillary documents and filings associated with the transaction

Candidate Requirements

The ideal candidate will have:

  • 5 years’ experience, ideally from a top- or mid-tier law firm or accountancy practice
  • strong academic qualifications including an ICSA qualification
  • a high level of commercial awareness
  • excellent technical and drafting skills coupled with a good eye for detail
  • a good understanding of legal systems and software
  • a diligent and inquisitive approach; and
  • a strong work ethic and flexible approach to work
