  • Irish counsel to a Canadian institutional investor (which manages several public and parapublic pension plans and insurance programmes), on the establishment and approval by Euronext Dublin of its US$20 billion note programme and ongoing issuances.
  • Advised on the due diligence exercise for the sale of an Irish regulated bank to another European regulated bank. Also advised the purchasing bank on the related derivative trades and ISDA Master Agreements.
  • Advised a syndicate of banks comprising Allied Irish Banks, Santander, Royal Bank of Canada, BNP Paribas and Commerzbank on the loan-linked hedge transaction documents, including ISDA Master Agreements and underlying loan transaction documents in relation to the provision of a €250 million revolving credit facility to Greencoat plc, the renewable energy infrastructure publicly listed investment fund.
  • Legal counsel to FlexFunds, a provider of customised repackaging and asset backed securitisation products, on (i) the set-up of multiple Irish incorporated issuers and €5 billion asset backed note programmes and (ii) ongoing issuances.
  • Legal counsel to ITower Development EAD on the financing and construction of a 34 storey – mixed residential, office and retail use - tower in Sofia, Bulgaria. Financing is provided by EuroBank Bulgaria AD and Black Sea Trade and Development Bank.
  • Legal counsel to the trustee on the set-up of, and issuances under two separate secured limited recourse variable return note programmes established by (i) Lseries DAC and (ii) Lfeeder DAC, coordinated by Lynk Capital Markets.
  • Legal counsel to the trustee on a €1 billion secured limited recourse note programme established by MBA Community Loans PLC. Each series of notes is backed by a diversified pool of student loans. The programme is approved for issuance on the regulated market of Euronext Dublin.
  • Advised an Irish Pillar Bank in its capacity as senior lender on the novation of an existing interest rate cap and amendments to an existing ISDA Master Agreement connected to the refinance and acquisition of a portfolio of mixed use units.
