
We have launched our AGM Season Report 2022, which provides in-depth analysis of the issues that have arisen at the annual general meetings of Irish-listed companies in the 2022 season. Now in its seventh year, the Report identifies a marked decline in the level of shareholder engagement with Irish public companies over the past year.
We hope it will be of assistance to companies navigating AGM trends and guidance for the 2023 AGM season.
The purpose of this Report is to review the resolutions proposed at the annual general meetings of Irish incorporated public limited companies with a listing on the regulated market of Euronext Dublin and/ or on the Main Market of the London Stock Exchange. This year, for the first time, our Report also reviews the resolutions proposed at the annual general meetings of Irish incorporated public limited companies with a listing on the Euronext Growth and/or AIM markets. Our review summarises the resolutions proposed at such meetings in the context of (i) Irish and EU legal requirements (ii) proxy agency guidelines and (iii) the UK Corporate Governance Code 2018.
The Report also provides data on the form, frequency and approval rate for resolutions proposed during the 2022 AGM season. For this purpose, we have reviewed the AGM notices and results for 43 Irish PLCs, 24 with a listing on the regulated market of Euronext Dublin and/or on the London Stock Exchange’s Main Market and 19 with a listing on Euronext Growth and/or AIM.
