Preparing Private Companies for the Companies Bill: New Company Forms and Drafting Company Constitutions

Enactment of the new Companies Bill to consolidate and reform Irish company law is expected in the coming months. As a result, many companies are turning their attention to the preparations that they need to make for transition to the new company law regime.
The Irish Corporate Law Forum will hold a seminar Preparing Private Companies for the Companies Bill on 7 February 2014 in Dublin Castle. The seminar will be presented by leading practitioners, such as:

- Eleanor Daly, FEXCO
- Paul Heffernan, McCann FitzGerald
- David Mangan, Mason Hayes & Curran
The programme is divided into sessions on Navigating the New Company Structures and Managing the Change to Company Constitutions. The sessions will follow a discussion format that addresses relevant case studies. The seminar will be chaired by Prof. Deirdre Ahern of Trinity College and panellists from KPMG, Beauchamps, KOMSEC and DFMG Solicitors will participate in each session.
David Mangan will lead the session on Drafting New-Form Company Constitutions, commented: “There has been plenty of discussion of the outline and overview of the Bill, but with enactment just around the corner the focus is now on the things that a company needs to do in order to prepare for transition or to take full advantage of the new regime.”
