Recent events have demonstrated the continued importance of capital markets as a source of financing for governments and businesses. The EU continues to encourage the use of capital markets through its Capital Markets Union project. As geopolitical, legal and regulatory conditions continue to change apace, market participants need foresight and fresh thinking from their advisors.

Our debt capital markets and listings team includes Irish and English qualified lawyers, who have national and international private practice and in-house experience. They have worked for and within the financial institutions that structure and originate transactions involving listed and unlisted debt securities.

The deals we work on range from standalone corporate bond issues, to secured and unsecured note programmes, asset-backed and repack note programmes. The majority of transactions we work on are listed, either on a regulated or exchange regulated market.

The team includes lawyers with a dedicated focus on providing specialist legal advice to the corporate trustee and the agency community. We are one of the only law firms in Ireland with such a focus. We act for a number of well-known trustees and agents on debt capital markets, structured finance and syndicated loan transactions.

We advise throughout the full life cycle of a trustee or agent’s appointment, from the initial set-up phase through the on-going management of
life cycle events.

We assist issuers with the listing of their debt securities at Euronext Dublin (the leading exchange worldwide for listing debt securities) and other leading exchanges such as the Vienna Stock Exchange and the Luxembourg Stock Exchange. We advise on which stock exchange to list with, liaise with the exchange and assist on all aspects of prospectus preparation, the approval process and the issuer’s continuing obligations.

We assist Irish and international issuers, lead managers and managers, arrangers and dealers, trustees and agents on the arranging, structuring and execution of these products and transactions.

Recent Work

  • Lead counsel to FlexFunds, a provider of customised repackaging and asset backed securitisation products, on the set-up of, and issuances under, multiple Irish incorporated (section 110) issuers and secured note programmes.
  • Irish counsel to a Canadian institutional investor, which manages several public and parapublic pension plans and insurance programmes, on the Irish law aspects of the establishment and approval in 2019, and re-approval in 2020, by Euronext Dublin of its US$20 billion medium-term note programme and subsequent debt issuances, US$8 billion to date.
  • Trustee counsel on the set-up of, and issuances under, Lseries DAC’s secured limited recourse variable return amount note programme, coordinated by Lynk Capital Markets.
