Welcome to Mason Hayes & Curran's first company secretarial compliance update. Good governance and compliance are of utmost importance in our ever challenging economic and legislative environment. The introduction of new company and EU legislation can make it difficult for directors and secretaries to keep abreast of all changes in company law affecting their companies. This and future biannual updates are intended to provide company directors, secretaries and officers with information on items which are of relevance to them in the discharge of their legal duties and compliance obligations.

In our first  edition, we update you on the companies registration office current enforcement policy and remind you of the records companies are required to maintain. We also outline the main features of the Companies (Amendment) Act 2009 which was signed into law on 12 July 2009 and include articles on the disclosure of company particulars on business stationery and e-communications and the new stamp duty exemption.
