Robert Henson

Tax Partner

Robert is a Tax Partner in the taxation department of Mason Hayes & Curran.  Prior to joining Mason Hayes & Curran, Robert worked at another major tax practice in Dublin where he completed both the Chartered Accountants' and Irish Taxation Institute's examinations.

Robert has advised a wide range of clients in leasing, funds and structuring investments. Robert has significant experience in advising clients on cross border transactions and structuring inward investment into Ireland. Robert regularly advises on the use of Irish regulated funds and Irish special purpose securitisation companies for structuring international business in and through Ireland.

Representative Matters:

  • Acting as Irish tax counsel for the providers of finance arranged by Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities for the $7.3bn offer by Royalty Pharma for Elan Corporation plc.
  • Acted as Irish tax counsel for the shareholders of Vordel Limited in its sale to Axway AG;
  • Acting as Irish tax counsel for Celesio AG in the disposal of Cahill May Roberts Limited to Uniphar plc;
  • Advised as Irish tax counsel for Samsung on its $1.375bn (consideration comprising cash and Seagate shares) sale of its hard drive division to Seagate plc;
  • Acted as Irish tax counsel for Liberty Mutual on its acquisition of the general insurance book of Quinn Direct Insurance.
  • Acted as Irish tax counsel to Berkshire Partners LLC, Advent International Corporation and Bain Capital Partners LLC in their recommended $1.1 billion acquisition by way of scheme of arrangement for SkillSoft plc.
  • Acted as Irish tax counsel for UK quoted Vedanta Resources plc in connection with its acquisition of zinc mining interests in Ireland as part of its agreement with Anglo American plc to purchase African and Irish zinc mining interests for $1.34 billion.
  • Acted as Irish tax counsel to Mylan Inc., which ranks among the leading generic and specialty pharmaceutical companies in the world, in respect of its $550 million cash acquisition of Bioniche Pharma Holdings Ltd., an Irish based global distributor of generic injectable drugs.
  • Acted as Irish tax counsel to LaCrosse in respect of its acquisition from Bank of America Merrill Lynch's global alternative fund administration business that will increase the group's funds under administration from $15 billion to $21 billion.
  • Acted as Irish tax counsel for Iberia in connection with the BA / Iberia merger into the collective International Airlines Group. This merger created International Airlines Group which is now one of the world's largest airlines with a capitalization of US$6BN.
  • Acted as Irish tax counsel for Schibsted Classified Media on the acquisition of the majority shareholding of Done Deal.
