An essential guide for Company directors and secretaries launched

Jordans Irish Company Secretarial Precedents, a new book authored by the Corporate Compliance group of Mason Hayes & Curran was launched today, 31st May, 2004 jointly by Paul Appleby, Director of Corporate Enforcement and Paul Farrell, the Registrar of Companies.

A prerequisite for Irish company secretaries and their directors, the book consists of hundreds of professionally drafted precedents, minutes, statutory and practice forms, which are accompanied by clear and concise explanations on their use and application, in company law and practice.

This new revised and updated 3rd edition takes into account all the important changes to company law procedures in Ireland following the introduction of the Companies Acts of 1999, 2001 and 2003.

Paula Phelan, co-author and director of the Company Secretarial Department stated, "This book serves as an essential and extensive guide to Irish corporate procedures. Given the fact that the ODCE received almost 2,000 reports of suspected company law breaches in 2003, it is more important than ever that company directors and secretaries understand their responsibilities in order that they avoid action being taken against them".

"The increased responsibility of the role of the company secretary is somewhat more complex and onerous today than it was in the past.

"The Companies Registration Office has been very persistent in addressing the level of compliance by companies of their legal obligations. Over 10,400 companies were struck off the register and dissolved in 2003 for failing to file annual accounts for 2001. This book aims to assist the conscientious director or secretary to keep in compliance."
